중소기업간 협업 활성화를 위한 협업전문회사 제도에 관한 연구

Abstract

2008년 글로벌 금융위기 이후 저성장 기조의 고착화, 다품종 소량 생산의 제조업 환경변화와 함께 융복합화 되면서 공진화(共進化)하는 기술혁신, 제조공정의 디지털화, 제품의 서비스화, 인공지능 기반의 플랫폼 비즈니스 확대, 데이터 자본의 부상등의 현상으로 표현되는 4차 산업혁명의 영향으로 과학기술은 급격한 발전을 이루고 있어, 기업에게 기술개발의 속도 경쟁이라는 새로운 과제를 부과하고 있어, 이에 대한 대응방법으로 개방형 혁신 등으로 대변되는 기업간 협업이 새롭게 조명받고 있다.

본 연구에서는 문헌조사를 통해 협업의 이론적 논의에 대한 선행연구를 검토하고 국내 중소기업 협업관련 법률 및 지원사업 현황을 분석하고 해외 중소기업 협업지원 정책을 검토하고 국내 실정에 맞는 협업 활성화를 위한 협업전문회사 제도 시행을 위해 유사제도를 바탕으로 활성화 방안을 제안코자 하였다.

대기업에 비해 인력, 자본, 네트워크 등의 경영자원의 부족으로 자사의 핵심역량 확대에 한계가 있는 중소기업의 경우 기업간 협업은 자사가 보유하지 않은 핵심역량의 교환을 통해 기업이 봉착한 기술·마케팅 등 각 분야의 문제해결과 비용절감, 새로운 사업기회의 포착과 사업추진의 위험분담 등 기업의 경쟁력제고에 유용한 방법을 제공한다.

국내 중소기업 협업지원 정책은 중소기업의 경쟁력 제고를 위해 2007년 4월「중소기업 진흥에 관한 법률」의 전부개정으로 법률적 근거를 마련하고 중소기업청(현재 중소벤처기업부)의 “협업사업계획 승인 제도” 도입으로 정책지원사업이 시행된 이래 많은 선행 연구에서 중소기업간 협업의 중요성이 강조되고 사례분석이 이루어졌으며, 이를 기반으로 정책 개선이 이루어지고 지원사업이 지속 추진되었지만, 연간 협업사업계획의 승인 건수는 축소되고 지원사업 규모도 축소되고 있으며, 통계청의 기업활동조사 결과도 기업간 협업이 축소되고 있는 등 활성화되지 못하고 있는 실정이나, 중소기업중앙회의 조사결과에 따르면 중소기업들의 협업의 필요성 및 참여의지는 높은 편으로 조사되고 있다.

이탈리아는 네트워크 계약법 제정 및 시행으로 중소기업간 협업이 활성화되고 있고, 일본은 신연휴제도 등 중소기업간 협업 지원정책을 지속적이고 체계적으로 추진·확대하고 있으며, 독일은 중소기업 4.0 정책 등으로 디지털 협력과 기술혁신프로그램을 활용한 기업간 공동 연구를 촉진하는 등 중소기업간 협업 활성화를 적극 추진하고 있다.

문재인 정부도 2017년 7월 “새정부 경제정책 방향”을 발표하면서 “기업간 협업을 통한 중소기업의 경쟁력 강화” 정책 추진을 제시하였으며, 그 방법으로 “협업전문회사” 제도 시행을 제시하였지만, “협업전문회사”와 관련하여 “중소기업이 공동출자로 설립 한다”는 것만 명시하고 구체적인 제도 및 운영방안 등을 제시하지 못한 상태에서 시행이 늦어지고 있는 실정이다.

문화체육관광부에서 문화산업진흥을 위해 시행하고 있는 “문화산업전문회사”제도를 바탕으로 “협업전문회사를 2개 이상의 중소기업이 투자로 특수목적법인을 설립하는 것으로 실제로 회사는 설립하지 않고 명목회사를 설립하여 사업관리자와 자산관리자를 설정하여 사업을 관리하는 것”으로 제도를 제안하고 국내 공동기술개발 사업화 사례를 바탕으로 협업전문회사의 유용성을 검토하고 협업전문회사제도에 기반한 국내 중소기업간 협업 활성화를 위한 정책과제로 사전기획과 금융제도 등을 제안하였으나 문헌조사 및 사례조사에 국한 한 연구로 실행의 유용성을 실증하지 못한 부분이 본 연구 한계점으로 제시할 수 있겠으며, 향후 제도의 시행과 함께 협업의 성공을 보장하는 투·융자 지원방안 등에 대한 구체적인 실행방안 연구가 보강되어야 할 것이다. | Small and medium-sized companies have experienced low economic growth rates and changes in having to produce fewer products of many varieties since the global financial crisis. In addition, the fourth industrial revolution introduced phenomena such as the digitalization of technological innovation and manufacturing processes, the service of products, the expansion of artificial intelligence-based platform businesses, and the rise of data capital. Due to this effect, science and technology is making rapid progress and imposing a new task of competing speed of technology development on small and medium-sized enterprises.

In the case of small- and medium-sized enterprises, which have limited corporate growth due to a lack of management personnel, capital and network compared to large companies, cooperation between companies provides useful ways to enhance corporate competitiveness, such as solving problems in each field and reducing costs, capturing new business opportunities and sharing risk of business promotion. capabilities that the companies do not own.

In this study, we proposed collaborating company is one in which two or more SMEs establish a special purpose corporation by investing. In fact, the company does not establish a company but establishes a nominee company and establishes a business manager and an asset manager to manage the business. This method has the merit that it is possible to achieve meaningful project in the national economy because the project can be financed only by the division of the project from the company participating in the collaboration. In addition, there is an advantage in that it can eliminate opportunism and the conflict caused by sharing the existing shares among the companies participating in the collaboration. Based on the case of commercialization of joint technology development in Korea, it reviewed the usefulness of collaborating company and proposed the advance planning and financial system as the policy agenda for revitalizing cooperation between small and medium enterprises in Korea based on the cooperative company system.
