M&A의 理論的 考察과 金融關係 仲介業務에 관한 硏究

Abstract

영문초록 수록|M&A has been undergoing a big change in the 1980' and they are the advancedment in the corporation acceptance, participation of the financial institutions, enlarging of the scale and increase in the hostile acception of the corporations. M&A could only be established under the condition of progressd information gathering ability and barganing ability. Therefore, these informations are usually gathered by a large financial institution. In the case of Korea, M & A was usually lead under the government in the past as to support a certain enterprise and to prevent an insolvent enterprise. Investment banks have been giving actual results in M & A brokerage business along with the side line business trend. The M & A of International corporation is notable in Japan due to the rise of the yen, and in Europe, M & A between the corporations that are facing the EC's economical integration are very active. In Korea, the M & A is still in the primary level but when the freeing of Capital proceeds, as different types of M & A is showing up and as the foreign Capital flows in, it is expected to be in the spotlight as a new source of profit by the financial institutions. It can be said that the M & A brokerage business has a lot to accomplish in the situation of Korea where there is hardly any Know-how. In a situation where the business of the financial institutions are doing a side line business, 1) The establishment of law that covers the whole-system and the one which restricts the business boundaries of corporations 2) A specialized manpower must be trained to aquire the Know-How to prepare for the financial changes throughout the nation and out. 3) Secialized department must be established in financial institution. 4) Cooperation with the advanced financial corporation in busineness and fund is required. 5) Active measures such as listed above and a consistent policy, responsibility from the administration as well as an active interest among the people who are engaged in the financial business are essential.
